PROCEDURES and DEFINITIONS

The following definitions and procedures are a guide to the functioning of the Fiberarts Guild at the time they are written. The Board can review these procedures at any time and make whatever changes it so desires. It is recommended they be revised and updated as often as they occur. They are meant to serve only as guidelines except in areas specifically set forth in the Bylaws, in which case what is stated therein shall rule.
OFFICERS
There will be four officers of the Corporation, elected by the Board of Directors: President, Vice President, Secretary and Treasurer.
Officers shall fill the responsibilities and duties as outlined in the Bylaws of the Fiberarts Guild of Pittsburgh, Inc., and in- the Policies and Procedures of the Corporation, and fulfill such duties as shall, from time to time, be determined by the Board of Directors.
President
1. Presides at and issues call for all meetings of the members and of the Board of Directors.
2. Serves as Ex-officio member of every committee.
3. Represents the Corporation in all its relations with other like groups and educational institutions.
4. With the approval of the Board, appoints and compensates all employees and agents of the Corporation.
Vice President
Acts in the absence of the President or with such powers as delegated by the Board of Directors.
Secretary
1. Keeps and attests the records of all meetings of the members and the Board of Directors.
2. Has charge of the Corporate Seal and authority to attest any and all instruments or writings to which the seal may be affixed.
3. Notifies the Board of Directors and others attending Board meetings at least seven (7) days prior to each Board meeting.
4. Maintains a file of past and present minutes of all. meetings.
5. Performs all. other duties usually appertaining to the Secretary of a corporation.
Treasurer
1. Prepares a budget to be presented at the Board's September meeting and subsequently presents it to the membership.
2. Handles and accounts for all monies, funds and securities of the Corporation.
3. Keeps books of account for the Corporation.
4. Renders a financial statement at the Annual Meeting in April and at business meetings; an annual report for the Newsletter; and arranges for the annual audit.
MEMBERSHIP REQUIREMENTS
Membership in the Fiberarts Guild of Pittsburgh is open to anyone at any time. Membership privileges include voting, election to the Board of Directors, free admission to Guild lectures, and reduced fees for Guild workshops and tours. Members are asked to support Guild activities and exhibitions by serving on at least one committee.
Because the Fiberarts Guild is a Member Guild of the Pittsburgh Center for the Arts, annual dues include the Guild's per-member payment to the PCA. Therefore, Guild members who wish to do so may join PCA for a discounted fee; contact PCA for details.
Honorary Member: Are selected by the Board of Directors at their discretion and hold the same rights and privileges as Full members and do not pay annual membership dues. Honorary membership is conferred as an award honorarium on those who have given outstanding service to the Guild.
MEMBERSHIP DUES
Annual dues for Active Members are $40.
Annual dues for Student Members (of all ages) are $15.
Honorary Membership is conferred by unanimous vote of the Board of Directors.
To be a member in good standing, annual dues must be paid before October 1. Lapsed membership can be reinstated by sending a membership form with dues payment to the Membership Chair.
STANDING COMMITTEES
Program Committee
1. Shall consist of a Chair and committee members selected at the Chair's discretion.
2. Shall arrange lectures and workshops and contract with lecturers and instructors with the approval of the Treasurer and Board of Directors.
3. Shall provide the membership with a program of activities and dates.
4. Shall make hospitality arrangements for guest speakers.
5. Program Chair may attend any program workshop without charge.
6.The Programs Committee is allowed to raise workshop fees to $45, or more with Board approval. (6/29/05)
7.Workshop cancellation refund policy: If a workshop cancellation can be filled by a replacement, a full refund will be given. If there is no replacement, the following policy applies: one week or more notice -full refund; 48 hours to one week notice -50%refund; less than 48 hours notice -no refund. (11-02-06)
Membership Chair
1. Shall answer inquiries about membership in the Fiberarts Guild and send notices of acceptance and welcome to new members and supply them with copies of the Yearbook/Directory and Bylaws and Procedures.
2. Shall send reminders for late dues.
3. Shall have up-to-date listing of all. members' names and addresses.
4. Shall cooperate with the Treasurer to keep the Fiberarts Guild mailing list at the PCA current, notifying them of all additions, deletions, and corrections annually.
5. Shall send dues notice reminders to Newsletter Editor for regular inclusion in the newsletter.
6. Shall inform those whose work has been accepted into the Membership Exhibition that they are automatically Full Members and are required to pay dues prior to the opening of the Membership Exhibition.
7. Shall inform those whose work is accepted into International Exhibitions that they become members, and shall inform local non-members accepted into the International Exhibition that they are eligible for membership in the Guild.
8. Shall collect guest fees at Lectures and Workshops and pass them to the Treasurer.
9. Shall compile all information to be included in the annual Yearbook/Membership Directory.
10. Shall arrange for typing and printing of the Yearbook and for its mailing.
11. Shall confer with the President and Program Chair for data to be included in the Yearbook.
12.New members’ dues will be credited toward the next fiscal year if they join the Guild after April 1. (8-24-06)
Newsletter Editor
1. Shall issue Newsletters each year to general membership.
2. May select additional committee members at his/her discretion.
3. Shall issue Newsletters to member groups of the Pittsburgh Center for the Arts and other guilds who wish to exchange Newsletters.
Membership Show and International Exhibition Committees
Each of the exhibitions shall. have a committee consisting of a Chair and other members they designate.
Membership Exhibitions shall be held alternately with the International Exhibition.
Membership and International Exhibitions shall adhere to the following:
Fiber art submitted to exhibitions shall conform to the following definitions: All work must be original in design; must have been completed within the last two years; may not have been done under the guidance of an instructor; may not have been previously exhibited in a Membership or International Exhibition sponsored by the Guild.
The Kor Fund (a source for awards) will be invested in CDs at the discretion of the Board. (10-12-05)
A. Membership Exhibition Committee
1. The Chair shall serve as ex-officio member of the Board during the year of the Membership Exhibition and shall make a report to the Board in the month after the close of the Exhibition.
2. Shall arrange for Jury activities, preview refreshments and other events in connection with the exhibition.
3. Shall conduct all business in connection with the Membership Exhibition.
4. "Best of Show" winner receives the Challenge Cup to be kept until the following competition is held.
5.If a member serves as juror for a Fiberarts Guild member show, their work should not be displayed in that show. (4-19-07)
B. International Exhibition Committee
1. The Chair shall serve as ex-officio member of the Board from the time of appointment until two months after the close of the exhibition and shall make a final report to the Board.
2. Shall arrange for Jury activities, preview refreshments and other events in connection with the exhibition.
3. Shall conduct all business in connection with the International Exhibition.
4. The Treasurer for the International Show shall be separate and distinct and will be responsible to the International Show Committee and the Fiberarts Guild of Pittsburgh, Inc. Board of Directors.
Nominating Committee
1. Shall consist of three (3) members elected by members at the Annual Meeting for a term of one year with no member serving two successive terms.
2. Shall nominate candidates for three Board positions annually and present nominees to fill vacancies on the Board.
3. Shall nominate candidates for the succeeding Nominating Committee, including at least two from the members at large and designate, the nominee to serve as Chair of the Nominating Committee.
4. Shall instruct nominees in their duties and responsibilities if elected.
5. Shall report its nominees to the Board of Directors before the Annual Meeting.
6. Shall publish its nominees in the Newsletter before the Annual Meeting.
Publicity Committee
The committee shall arrange for local and/or national publicity with regard to Fiberarts Guild activities.
Hospitality Committee
The committee shall make meeting place and refreshment arrangements for meetings in cooperation with the Program and Exhibition Committees.
Education Committee
1.Chair shall be appointed by the President, serve one year and may be appointed for only one succeeding year.
2.Shall consist of Chair and such members as are needed to carry out the activities of the committee.
3. Shall arrange for the continuing education of the members in specific areas of fiber art upon request.
4. Shall be responsible for design and implementation of educational community outreach programs.
Archivist
1. Shall assess books, slides, and historical materials stored by The Fiberarts Guild of Pittsburgh, Inc.
2. Shall make reports to the Board concerning these resource materials:
a. recommendations about appropriate storage of books, slides and historical materials
b. recommendations about utilization of resource materials and lending policies.
3. Shall make recommendations to the Board about the need for a slide librarian to:
a. catalog all slides, and prepare duplicate sets of slides for lending purposes.
b. supervise lending of slides
c. report to members additions to the slide collection.
d. arrange for members to purchase duplicate slides
4. Shall make recommendations to the Board regarding maintenance of historical records and current public data pertaining to the Fiberarts Guild and its members.
Special Events
May be arranged at times and places deemed appropriate for the showing of members' fiber art.
MISCELLANEOUS
Relationship to the Pittsburgh Center for the Arts
1. The Fiberarts Guild is a resident group of the Center, having full duties and responsibilities as described in the Center's Bylaws.
2. The Guild President serves on the Center's Presidents Council.
3. The President Appoints the Guild Representative to the Exhibition Committee.
Pittsburgh Center for the Arts Shops and Holiday Sale
A member of the Fiberarts Guild may submit items for sale at the shops, which are open all or at the Holiday Sale. The items submitted for sale are screened by the Center. Submission is made directly to the Center.
